Terms of service

This document exists in French and in English. Both versions are authentic and equally binding, and they correspond clause by clause. Lire la version française.
1. Purpose
These terms govern access to and use of the Hanny service, published by Brutux Studio. They are accepted when the account is created and form the contract between the publisher and the customer.
The service is intended for professionals acting in the course of their business. It is not intended for consumers.
2. What the service does
Hanny analyses a brand’s business, derives an editorial voice from it, builds a calendar and writes posts together with their visuals and hashtags.
By default, the service does not publish on social networks: the customer copies and publishes the content themselves. No connection to a LinkedIn, Instagram or Facebook account is requested.
Publishing on the customer’s behalf, included in the plans at no extra cost, is not yet offered. Its terms are set out in Article 3; they will apply once it is activated.
3. Delegated publishing
The customer will be able to ask Hanny to schedule and publish their posts on their behalf. This feature is included in the subscription, at no extra cost. It is never activated by default: it requires an express request from the customer and the prior connection of their accounts.
By activating it, the customer gives Brutux Studio a mandate to publish in their name, solely on the accounts they have designated, solely the posts they have approved, and solely on the dates they have set.
- The mandate covers publishing only. It covers neither replying to comments and messages, nor changes to the accounts, nor the purchase of advertising.
- No post that has not been approved by the customer can be published. Approval is recorded and time-stamped.
- The customer may withdraw the mandate at any time from their account. Withdrawal is immediate: posts already scheduled but not yet published are cancelled.
- The customer remains responsible for the content published in their name, which they approved before publication. The publisher’s liability is limited to the faithful transmission of that content on the agreed date.
- A post may be rejected by a social network for its own reasons. The publisher informs the customer; this situation does not give rise to any refund.
- Accounts are connected through delegated access granted on each platform. The customer never discloses their passwords, and the publisher never asks for any.
When the feature is active, scheduling goes through a technical provider acting as the publisher’s processor within the meaning of the GDPR. It is named in the privacy policy before the first account is connected, and no data is transmitted to it before that date.
4. Account
Creating an account requires a valid email address, which must be confirmed. The customer is responsible for keeping their login details confidential and for the actions carried out from their account.
The customer warrants that the information provided is accurate and undertakes to keep it up to date.
5. Free trial
Every account receives a trial on sign-up, with no credit card and no commitment.
- The trial covers 5 posts generated by the Service, whether or not they have been published.
- It has no set duration: it ends when the 5th post has been generated.
- The trial is on the Essential plan. The features of higher plans are not included.
At the end of the trial, the production of new posts stops. Posts already produced remain available to view and export. No payment is taken without an explicit subscription.
6. Plans, quotas and overage
The plans, their monthly quotas and their prices are shown on the Pricing page and, once logged in, on the Subscription page, which is authoritative. The Agency plan is subject to a quote, which prevails over these terms in respect of the matters it covers. Prices are stated exclusive of tax; the applicable tax is added at invoicing.
The quota is counted per post produced, once per post regardless of the number of processing operations it required. Regenerations of the text of an existing post are not counted, within the limits of reasonable use. Created images are subject to a monthly limit specific to each plan.
The quota is monthly whatever the payment frequency: a subscription paid annually entitles the customer, each month, to the monthly quota of its plan. Quota not used in one month does not carry over to the next.
Once the quota is reached, production stops. On the plans that provide for it, the customer may authorise overage, invoiced per post, up to a cap they set themselves. This setting is off by default and is never activated without an explicit request.
7. Payment
Payments are processed by Stripe. No banking data passes through or is stored by the publisher.
The subscription is charged in advance, at the customer’s choice, for a monthly period or for an annual period, on the anniversary date of the subscription. The annual price is shown on the Pricing page next to the monthly price. For a monthly subscription, overage for a period is invoiced in arrears, on the following invoice; for an annual subscription, it is invoiced as it is produced. Invoices are made available on the customer’s Subscription page.
Any late payment automatically incurs late-payment penalties at the European Central Bank refinancing rate plus ten percentage points, together with a fixed indemnity for recovery costs of €40.
8. Term, renewal and termination
The subscription is taken out for one month or one year, as chosen by the customer, and is tacitly renewed for an identical period. The monthly subscription has no minimum term; the annual subscription commits the customer for the year paid.
The customer may cancel at any time from the Subscription page of their account. Cancellation takes effect at the end of the current period: the service remains accessible until that date, and no pro rata refund is due. For an annual subscription, that date is the end of the current year. Deletion of the account by the customer, by contrast, entails immediate termination, without refund of the current period.
The customer may change plans, or switch from monthly to annual payment and vice versa, at any time; the difference is calculated pro rata to the time remaining in the current period.
The publisher may terminate for serious breach (misuse of the service, unlawful content) after formal notice that has remained without effect for fifteen days, except in cases of manifest unlawfulness, where suspension is immediate.
9. Payment default
A payment that fails does not cut off access. The customer retains the ability to read, edit and publish what they have already produced; only the production of new content is suspended until the situation is regularised.
After several unsuccessful payment attempts, the subscription is suspended and then terminated. Whatever the cause of termination, the data remains exportable for thirty days from termination, and is then deleted.
10. Content produced by artificial intelligence
Posts are written and illustrated by artificial intelligence models. The customer is their publisher and assumes responsibility for them at the time they publish them.
- Review. The service produces drafts. The customer reviews them before publication: a model may produce wording that is inaccurate, outdated or unsuited to its context.
- Figures and facts. Figures, dates and statements about the customer’s business must be checked by the customer. The publisher does not guarantee their accuracy.
- Originality. No guarantee of originality, or of the absence of resemblance to existing content, can be given for automated output.
- Faces. The service may generate images showing fictitious people. It never presents a generated person as an identified real person: posts featuring the customer, a member of their team or one of their clients rely on photographs uploaded by the customer. When the customer requests a reworked version of one of their photographs, the face appearing in it is taken from the original, with a likeness that may not be perfect. Uploaded photographs remain the customer’s responsibility, including obtaining the consent of the people who appear in them to this transformation.
- Disclosure. It is the customer’s responsibility to comply with the rules of the platform on which they publish, including any obligation to indicate that content has been produced by artificial intelligence.
11. Ownership of content
The texts, visuals and carousels produced for the customer are assigned to them, on an exclusive basis, for the entire term of protection and worldwide, for any use connected with their business. This assignment is included in the price of the subscription and survives its termination.
The materials the customer uploads (logo, photographs, reference texts) remain theirs. The customer warrants that they hold the rights necessary for their use by the service.
The service itself, its code, its interface and its layout templates remain the property of Brutux Studio.
12. Availability
The publisher uses reasonable means to keep the service accessible, without any guarantee of continuous availability. Interruptions for maintenance are announced when they can be foreseen.
The service depends on third-party providers, in particular artificial intelligence models. Unavailability on their part may delay production without constituting a breach by the publisher.
13. Liability
The publisher is bound by an obligation to use its best efforts (obligation de moyens). Its liability is limited to direct and foreseeable damage, and capped at the sums actually paid by the customer in respect of the twelve months preceding the event giving rise to the claim.
Indirect damage is excluded, in particular loss of turnover, customers or reputation, as are the consequences of a publication decided by the customer. None of these limitations applies in the event of gross negligence or wilful misconduct (faute lourde ou dolosive).
14. Right of withdrawal
As the service is provided to professionals for the purposes of their business, the right of withdrawal provided for consumers does not apply.
The free trial makes it possible to try the service before any payment: it takes the place of that right.
15. Personal data
The processing of data is described in the privacy policy, which names the processors and the transfers outside the European Union.
The customer may export their data at any time from their account, and delete their account themselves from it.
16. Changes to these terms
The publisher may amend these terms. Any substantive change is notified by email at least thirty days before it comes into force. A customer who refuses it may cancel at no cost before that date.
17. Governing law and disputes
These terms are governed by French law. In the event of a dispute, the parties shall seek an amicable solution; failing agreement within thirty days, the dispute shall be brought before the competent courts for the place of the publisher’s registered office.
These terms are drawn up in French and in English. Both versions are equally authentic and correspond article by article.
A complaint may be sent to contact@brutux.studio.
